Terms & Conditions
Please read these terms carefully before using our services.
1. Agreement to Terms
By accessing or using any services provided by Kausiki Infosys International Pvt. Ltd. ("Kausiki Infosys International"), operating through its Kausly division ("Kausly", "we", "our", or "us"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
These terms apply to all clients, partners, and visitors who access or use our services.
2. Services
Kausly provides managed IT services including but not limited to:
- Core Managed IT & Infrastructure Management
- IT Procurement & Hardware Sourcing
- Maintenance & Technical Support
- Managed Print Services
- Digital & Hardware Security (Shield)
- IT Consulting & System Design
The scope of services for each client is defined in a separate Service Level Agreement (SLA) or engagement letter signed between both parties.
3. Acceptable Use
You agree not to use our services to:
- Violate any applicable law or regulation
- Transmit any harmful, offensive, or illegal content
- Attempt to gain unauthorized access to any systems or networks
- Interfere with or disrupt the integrity of our services
- Engage in any activity that could damage our reputation or operations
Kausly reserves the right to suspend or terminate services immediately if any of the above are violated.
4. Payment & Billing
- All service fees are billed as agreed in your service contract
- Payment is due within 15 days of invoice date unless otherwise agreed
- Late payments may incur a penalty of 2% per month on the outstanding amount
- All prices are in Nepalese Rupees (NPR) unless otherwise stated
- Kausly reserves the right to adjust pricing with 30 days written notice
5. Intellectual Property
All tools, software, processes, documentation, and methodologies developed or used by Kausly remain the intellectual property of Kausiki Infosys International Pvt. Ltd.
Client data and materials provided to Kausly for service delivery remain the property of the client.
6. Confidentiality
Both parties agree to keep confidential all proprietary information, business data, and technical details shared during the course of the engagement.
Kausly will not disclose client information to third parties without explicit written consent, except where required by law.
This obligation of confidentiality survives the termination of any service agreement.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Kausly shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of data, revenue, or business opportunity
- Downtime caused by third-party services or infrastructure outside our control
- Force majeure events including natural disasters, power failures, or government actions
Our total liability shall not exceed the total fees paid by you in the 3 months preceding the claim.
8. Termination
Either party may terminate services with 30 days written notice unless otherwise specified in the service contract.
Kausly may terminate immediately in cases of:
- Material breach of these terms
- Non-payment exceeding 30 days
- Illegal or harmful use of services
Upon termination, all outstanding invoices become immediately due and payable.
9. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Nepal. Any disputes shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.
10. Changes to Terms
Kausly reserves the right to update these Terms and Conditions at any time. We will notify active clients of material changes via email with at least 14 days notice.
Continued use of our services after changes take effect constitutes acceptance of the updated terms.
